Terms and Conditions
These Terms and Conditions apply to all services provided by CMR Robotics Limited ("CMR Robotics", "we", "us", "our").
By making an enquiry, submitting a registration form, accepting a quote, making payment, attending a programme, or otherwise engaging CMR Robotics Limited, you agree to these Terms and Conditions.

1. Definitions and Interpretation
In these Terms and Conditions:
- Participant means the person enrolled in or attending a programme, class, workshop, or event.
- Customer, you, your means the person who enquires, registers, books, accepts an invoice, makes payment, or authorises participation, including a parent or guardian where the participant is under 18 years of age.
- Programme means any service offered by CMR Robotics, including those listed in clause 2 and clause 11.
- Written notice means a notice given in writing and either delivered by hand, sent by post, or sent by email to the email address most recently published or notified by CMR Robotics for that purpose. Notice given by email is deemed received on the next business day after sending, unless CMR Robotics confirms earlier receipt. A notice is only effective once actually received by CMR Robotics; messages sent by social media, messaging apps, voicemail, or verbal communication do not constitute written notice unless CMR Robotics confirms acceptance of them in writing.
- Business day means a day other than a Saturday, Sunday, or public holiday in Auckland, New Zealand.
Headings are for convenience only and do not affect interpretation. References to “including” or “such as” are not limiting.
2. Services Covered by These Terms
CMR Robotics Limited provides services including, but not limited to: robotics coaching programmes; FTC robotics training and competition preparation; coding classes; private tutoring; holiday programmes; workshops and special events; technical advisory and project support; competition preparation; and local, national, and international competition support. Services may be delivered in person, online, or in a hybrid format as agreed.
3. Booking, Registration, and Engagement
Services are engaged by direct enquiry, booking, registration form, written agreement, invoice, quote, or other written confirmation.
Where applicable, a quote, invoice, or pricing confirmation will be provided before services commence.
Acceptance of an invoice, quote, booking confirmation, registration confirmation, attendance at a programme, or payment constitutes acceptance of these Terms and Conditions.
CMR Robotics Limited may decline or cancel a booking or enrolment before commencement if payment has not been received or if no approved payment arrangement has been established.
4. Service Delivery and Fulfilment
Services are delivered as scheduled and agreed in writing.
Delivery may include scheduled sessions, workshops, coaching, tutoring, planning meetings, review meetings, documentation support, technical advice, competition preparation, and event support.
The service scope, schedule, delivery format, and any specific inclusions will be confirmed before payment is requested, unless otherwise agreed.
CMR Robotics Limited may make reasonable changes to session content, delivery method, staffing, scheduling, venue, or programme structure where required for operational, safety, educational, or event-related reasons.
5. Programme Viability and Minimum Numbers
Some programmes require a minimum number of participants to proceed.
CMR Robotics Limited may reschedule, combine, relocate, or cancel a programme that does not meet minimum enrolment or that is no longer operationally viable.
Where CMR Robotics cancels a programme before it commences for this reason, any prepaid fees for the cancelled programme period will be credited or refunded for the portion not delivered. This does not entitle the customer to compensation for any other costs.
6. Pricing and GST
Prices are provided as a quote, rate, fee schedule, booking confirmation, or invoice.
Prices may vary depending on programme type, scope, duration, group size, delivery format, materials, venue requirements, competition requirements, and other relevant factors.
Prices are not listed in these Terms and Conditions and may be updated separately from time to time.
Where applicable, GST is charged at the prevailing rate and shown on invoices.
Unless expressly stated otherwise, all prices are in New Zealand dollars.
7. Invoicing and General Payment Terms
Unless otherwise agreed in writing, all invoices are due within seven (7) days of issue.
Payment is required before commencement of services unless CMR Robotics Limited has approved a payment arrangement in writing.
Payment plans may be offered at the sole discretion of CMR Robotics Limited.
Where a payment plan is approved, the customer remains liable for the full amount owing for the relevant programme, service, booking, or enrolment period regardless of the timing of instalments.
CMR Robotics Limited may accept bank transfer, card payment, or other payment methods made available from time to time.
Availability of payment methods may change depending on provider requirements.
8. Confirmation of Place
A participant's place in a programme, class, workshop, holiday programme, or event is not guaranteed until the first invoice payment has been received or an approved payment arrangement has been established.
CMR Robotics Limited reserves the right to offer the place to another participant if payment has not been received by the due date.
9. Parents, Guardians, and Liability for Fees
Where a participant is under 18 years of age, the parent or guardian who completes the registration, submits the enquiry, accepts the invoice, signs the participant up, or otherwise authorises participation is responsible for all fees and charges associated with that participant's enrolment.
Parents and guardians agree to ensure that all fees, charges, event costs, travel costs, and other amounts properly invoiced are paid by the due date.
Where more than one parent or guardian is involved in the enrolment, each parent or guardian may be treated as jointly and severally liable for amounts owing, unless otherwise agreed in writing.
Adult participants are personally liable for all fees and charges associated with their own enrolment.
10. Payment Security
Payments may be processed using secure third-party payment providers.
CMR Robotics Limited does not store full card details.
Where third-party payment providers are used, their own terms, privacy practices, and processing requirements may also apply.
11. Overdue Accounts, Interest, and Debt Recovery
If an invoice is not paid by the due date, CMR Robotics Limited may suspend participation, withhold competition registration, cancel future enrolments, pause access to services, withhold certificates or reports, or refer the account for debt recovery.
Suspension from attendance or participation does not reduce or remove the obligation to pay outstanding fees.
CMR Robotics Limited may charge interest on overdue amounts at a rate of up to 2% per month (or part month) calculated from the due date until payment is received in full.
Where an account becomes overdue, CMR Robotics Limited may engage debt collection agencies, solicitors, or other recovery services.
The customer agrees to pay all reasonable costs incurred in recovering overdue amounts, including debt collection fees, legal fees, solicitor costs, court costs, filing fees, enforcement costs, interest, and administration expenses, to the extent permitted by law.
12. Chargebacks and Billing Disputes
If you have a billing concern, you must contact CMR Robotics Limited in writing before initiating a chargeback.
Unauthorised, mistaken, or unsupported chargebacks may result in suspension of services until the matter is resolved.
CMR Robotics Limited reserves the right to recover any costs, fees, or losses arising from an improper chargeback, to the extent permitted by law.
13. Programme Types
CMR Robotics Limited may offer programmes including, but not limited to:
- FTC Robotics Programme, Term Enrolment;
- FTC Robotics Programme, Annual Enrolment;
- coding classes;
- private tuition;
- holiday programmes;
- workshops;
- special events;
- competition preparation programmes.
Programme details, schedules, fees, inclusions, and payment options are published separately and may be updated from time to time.
CMR Robotics Limited may also offer a referral bonus or credit for existing families who introduce new participants. Any referral bonus is subject to the rules, eligibility criteria, limits, and timing set by CMR Robotics Limited from time to time. Referral bonuses are non-transferable, have no cash value, and may be applied only to future registration fees unless otherwise agreed in writing. CMR Robotics Limited may amend, pause, or end any referral bonus programme at any time.
14. FTC Term Enrolment
FTC Term Enrolment is a commitment for the entirety of a school term as defined by the New Zealand Ministry of Education school term dates.
Enrolment secures a participant's place for the full term.
Fees are payable for the entire term regardless of attendance, illness, holidays, withdrawal, sporting commitments, family commitments, school commitments, travel, change of mind, competing activities, or any other personal circumstance.
Participants joining partway through a term will be charged a pro-rated fee based on the remaining portion of that term.
Term fees may be paid in full before the commencement of the term or under an approved payment arrangement.
Where an instalment arrangement is approved, the participant remains liable for the full term fee regardless of the timing of instalments.
15. Automatic Continuation of FTC Term Enrolment
FTC Term Enrolments automatically continue into the following school term unless written notice of withdrawal is received before the commencement of the next term.
Attendance at any session during a new term constitutes acceptance of enrolment for that entire term.
Once a participant has attended during a new term, the corresponding term fees become payable in full.
Once a term has commenced, cancellation for that term is not permitted and fees remain payable in full.
16. FTC Annual Enrolment
FTC Annual Enrolment provides enrolment for a continuous twelve-month period commencing on the participant's registration date or another date agreed in writing.
Annual Enrolment is offered at a discounted rate compared with equivalent term-based enrolment.
Annual Enrolment is payable upfront unless an alternative payment arrangement is agreed in writing.
Optional payment schedule. Where CMR Robotics agrees in writing to a flexible payment schedule, payments must remain proportional to the time elapsed between the invoice date and the final due date. By way of example, if 50% of the enrolment period has elapsed, at least 50% of the total fee should have been paid. All outstanding balances must be paid in full no later than the Friday before NZ FTC Nationals, regardless of the agreed payment schedule. If payments fall significantly behind the expected schedule, access to training and competitions may be paused until the account is brought back in line.
Annual Enrolment is non-refundable once commenced except where required by law.
Participants remain liable for the full annual fee regardless of attendance, illness, travel, withdrawal, sporting commitments, school commitments, family commitments, change of mind, or any other personal circumstance.
17. Upgrading from FTC Term Enrolment to FTC Annual Enrolment
A participant enrolled under a term-based arrangement may request to upgrade to Annual Enrolment.
CMR Robotics Limited may approve the upgrade at its discretion.
Any payments already made toward the current term may be credited toward the Annual Enrolment fee.
If the participant is on an instalment arrangement for the current term, future instalments under that term arrangement may be cancelled and replaced with the Annual Enrolment arrangement.
If the participant has already paid for the term upfront, the unused portion of the current term may be credited against the Annual Enrolment invoice at CMR Robotics Limited's discretion.
Unless otherwise agreed in writing, the Annual Enrolment period begins on the date the Annual Enrolment invoice is issued.
18. Coding Classes, Tutoring, and Recurring Programmes
Coding classes, tutoring programmes, and similar recurring educational services are enrolled on a programme-by-programme or term-by-term basis unless otherwise specified.
Enrolment commits the participant to the entire programme period.
Fees remain payable in full regardless of attendance, illness, holidays, withdrawal, transport issues, change of mind, or any other personal circumstance.
Participants joining after a programme has commenced may be charged on a pro-rated basis.
19. Holiday Programmes, Workshops, Camps, and Special Events
Bookings for holiday programmes, workshops, camps, and special events reserve a place in a limited-capacity programme.
Payment is required before the programme commences unless otherwise agreed in writing.
Cancellation more than fourteen (14) days before the programme commencement date may be eligible for a refund, less any administration costs and non-recoverable expenses.
Cancellation within fourteen (14) days of commencement is non-refundable unless the place can be filled by another participant.
No refunds are available once the programme has commenced, except where required by law.
20. Missed Sessions
No refunds, credits, discounts, extensions, make-up sessions, or carry-forwards will be provided for missed sessions due to illness, holidays, school events, sporting commitments, family commitments, transport issues, change of mind, or any other reason beyond the control of CMR Robotics Limited.
Alternative learning opportunities may be offered at the discretion of CMR Robotics Limited but are not guaranteed.
21. Withdrawal
Participants may withdraw from future programme periods by providing written notice before the commencement of the next enrolment period.
Withdrawal from an enrolment period that has already commenced does not remove the obligation to pay fees for that enrolment period.
For FTC Term Enrolment, withdrawal after the commencement of a term does not remove liability for the full term fees.
For FTC Annual Enrolment, withdrawal after commencement does not remove liability for the full annual fee.
22. Cancellations, Rescheduling, and Refunds for General Services
CMR Robotics Limited primarily provides services rather than physical products.
Once a service has been delivered in whole or in part, it cannot be returned.
The following conditions apply:
- fees are non-refundable for services already delivered;
- cancellations with less than 48 hours' notice may be charged in full;
- failure to attend a scheduled service without notice may result in the session being charged in full;
- rescheduling may be allowed at CMR Robotics Limited's discretion, subject to availability;
- refunds for prepaid services not yet delivered will be assessed case by case unless required by law.
23. Competition Participation
Participation in competitions, representative teams, travel opportunities, international events, demonstrations, and special activities may require accounts to be up to date.
CMR Robotics Limited reserves the right to restrict participation where fees remain unpaid or payment arrangements have not been maintained.
Competition selection, team allocation, roles, responsibilities, and event participation may be determined by CMR Robotics Limited based on readiness, behaviour, attendance, safety, team requirements, event rules, and operational needs.
24. Competition, Travel, and Event Costs
Unless expressly stated otherwise in programme documentation, programme fees do not include competition entry fees, event registration fees, travel costs, accommodation, meals, passports, visas, travel insurance, uniforms, personal equipment, or other participant expenses associated with competitions, travel, or events.
Such costs may be invoiced separately or paid directly by participants as advised.
International competition support may involve planning, training, build preparation, compliance reviews, documentation support, technical assistance, and event preparation.
Costs and scope for international support can vary substantially depending on travel, event requirements, team needs, and availability.
Any international competition support is provided only where agreed in writing.
25. Off-Site Events, Competitions, and Travel
Some services may involve off-site events such as competitions, workshops, demonstrations, venue visits, or travel.
While reasonable care is taken, participation in off-site activities carries inherent risks.
Participants must follow all instructions from CMR Robotics Limited staff, contractors, volunteers, venue staff, event organisers, and officials.
CMR Robotics Limited is not liable for events outside its reasonable control, including transport delays, venue issues, event changes, third-party conduct, weather events, illness, border issues, airline issues, or other external disruptions.
26. Insurance
Participants and their families are responsible for arranging their own medical, travel, and personal insurance appropriate to their participation, including for any travel, competitions, or off-site events.
CMR Robotics Limited does not provide medical, travel, contents, or personal accident insurance for participants and is not responsible for losses that would ordinarily be covered by such insurance.
27. Health and Safety
CMR Robotics Limited takes reasonable steps to provide a safe learning environment.
Participants must follow safety instructions, workshop rules, equipment rules, venue rules, and reasonable directions.
Participants must use tools, equipment, electronics, machinery, batteries, robots, and materials only as instructed.
CMR Robotics Limited is not liable for injuries, losses, or damage caused by misuse of equipment, failure to follow safety guidance, horseplay, unsafe conduct, or actions outside the scope of our services.
Participants may be refused participation in an activity if CMR Robotics Limited considers there is a safety risk.
28. Equipment, Tools, and CMR Property
CMR Robotics Limited provides tools, equipment, robots, electronics, components, and materials for use during programmes.
These remain the property of CMR Robotics Limited at all times unless expressly stated otherwise in writing.
Participants must use all equipment and property carefully, safely, and only as instructed.
The participant, and where the participant is under 18 the parent or guardian, is responsible for the reasonable cost of repair or replacement of CMR Robotics Limited equipment or property that is lost, damaged, or destroyed as a result of the participant's negligent, reckless, wilful, or unauthorised conduct. This does not apply to fair wear and tear or to damage occurring despite the participant following instructions.
29. Personal Property and Valuables
Participants bring personal items such as laptops, phones, devices, bags, clothing, and equipment to sessions and events at their own risk.
CMR Robotics Limited is not responsible for loss of, theft of, or damage to personal property brought to any session, programme, venue, competition, or event.
30. Behaviour and Conduct
Participants are expected to behave respectfully, safely, and appropriately at all times.
CMR Robotics Limited reserves the right to suspend or remove any participant for misconduct, bullying, harassment, discrimination, repeated safety breaches, property damage, theft, dishonesty, disruptive behaviour, or behaviour that negatively impacts others.
Fees are not refundable where a participant is suspended or removed for behaviour or safety reasons, unless required by law.
Parents and guardians may be contacted to collect a participant where behaviour or safety concerns arise.
31. Supervision and Responsibility
Supervision is provided during scheduled programme hours only.
Parents or guardians are responsible for transport to and from sessions, events, and venues.
Participants must be collected promptly at the conclusion of scheduled activities.
CMR Robotics Limited is not responsible for participants outside scheduled programme hours.
Where a participant is permitted to arrive or leave independently, this is at the responsibility of the parent or guardian.
32. Medical Information and Emergencies
Parents, guardians, or adult participants must provide relevant medical, allergy, behavioural, learning, or safety information that may affect participation.
CMR Robotics Limited may take reasonable action in an emergency, including contacting emergency services, administering basic first aid, or contacting a parent, guardian, or emergency contact.
Parents and guardians remain responsible for any medical, ambulance, or emergency costs incurred.
33. Indemnity
To the extent permitted by law, the customer (and, where the participant is under 18, the parent or guardian) agrees to indemnify CMR Robotics Limited against any reasonable claims, costs, losses, liabilities, or damage suffered or incurred by CMR Robotics Limited as a result of:
- the participant's negligent, reckless, wilful, or unauthorised conduct;
- damage caused by the participant to property of CMR Robotics Limited or of any third party; or
- any breach of these Terms and Conditions by the customer or participant.
This indemnity does not apply to the extent that the loss or damage was caused by the negligence or wilful misconduct of CMR Robotics Limited, and does not exclude, restrict, or modify any rights that cannot lawfully be excluded.
34. Consumer Guarantees Act and Consumer Rights
If you acquire services for personal, domestic, or household use in New Zealand, you may have rights under the Consumer Guarantees Act 1993 and other applicable consumer laws.
Nothing in these Terms and Conditions is intended to exclude, restrict, or modify any rights that cannot lawfully be excluded, restricted, or modified.
If you acquire services for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply to the maximum extent permitted by law.
35. Fair Trading and Standard Form Terms
CMR Robotics Limited aims to ensure these Terms and Conditions are fair, transparent, and reasonably necessary to protect legitimate business interests.
Where any term is found to be unenforceable, invalid, or unfair under applicable law, that term will be modified or severed to the minimum extent necessary, and the remaining terms will continue to apply.
36. Intellectual Property
Unless agreed otherwise in writing, training materials, lesson content, programme structures, documentation templates, designs, resources, teaching methods, code examples, CAD examples, worksheets, and other materials created by CMR Robotics Limited remain the intellectual property of CMR Robotics Limited.
Materials may not be reproduced, distributed, published, sold, licensed, or used for commercial purposes without written permission.
Participants may use materials provided to them for their own learning and participation in CMR Robotics Limited programmes.
37. Participant-Created Work
Participants may create designs, code, documents, CAD files, robot mechanisms, media, or other work during programmes.
Unless otherwise agreed in writing, participants retain ownership of their own original work.
By participating, participants grant CMR Robotics Limited permission to use images, videos, descriptions, and examples of participant-created work for educational, reporting, competition, and promotional purposes, subject to any privacy or media restrictions notified in writing.
Where work is created collaboratively as part of a team, competition programme, or shared project, use and access may be managed by CMR Robotics Limited for the purposes of programme delivery, competition participation, continuity, and team operation.
38. Privacy
Personal information is collected and used for managing enquiries, enrolments, safety, programme delivery, billing, communications, events, and legal compliance.
Information collected may include participant names, parent or guardian details, contact information, age, school, experience level, emergency contact details, health and safety information, attendance records, billing details, and programme notes.
Personal information is handled in accordance with the Privacy Act 2020 and CMR Robotics Limited's Privacy Policy.
CMR Robotics Limited may contact participants, parents, or guardians about sessions, events, invoices, programme updates, safety matters, and related services.
You may request access to or correction of personal information held by CMR Robotics Limited.
39. Media, Photography, and Video
Photos or videos may be taken during sessions, programmes, workshops, competitions, and events.
Media may be used for educational, reporting, promotional, website, social media, sponsor, and competition purposes.
If you do not wish for a participant's image, video, name, or identifying information to be used, you must notify CMR Robotics Limited in writing.
CMR Robotics Limited will take reasonable steps to honour written media restrictions.
40. Communications
CMR Robotics Limited may communicate by email, phone, SMS, messaging apps, online platforms, or other reasonable channels.
Parents, guardians, and participants are responsible for ensuring contact details remain up to date.
Important notices, including invoices, programme updates, cancellation notices, and safety information, may be sent electronically.
41. Force Majeure
Services may be paused, moved online, rescheduled, relocated, reduced, or otherwise adjusted due to events beyond the reasonable control of CMR Robotics Limited.
Such events may include illness, injury, natural disasters, pandemics, government restrictions, venue closures, utility failures, transport disruption, event cancellation, supplier failure, equipment failure, or other unforeseen circumstances.
Where services cannot reasonably continue, CMR Robotics Limited may offer alternative arrangements, credits, rescheduling, or refunds at its discretion unless required by law.
42. Limitation of Liability
To the fullest extent permitted by law, CMR Robotics Limited is not liable for indirect, consequential, incidental, special, or economic losses.
This includes loss of opportunity, loss of profit, loss of data, loss of competition participation, disappointment, travel disruption, or costs arising from third-party decisions or events outside CMR Robotics Limited's reasonable control.
Total liability is limited to the amount paid for the relevant service, booking, programme, or enrolment period giving rise to the claim, except where liability cannot lawfully be limited.
